This Vendor Agreement (“Agreement”) is between COCO-WAWA, LLC, a Wyoming limited liability company that operates the COCO WAWA marketplace at coco-wawa.com (“COCO WAWA”, “Marketplace”), and the business or individual that registers a vendor store (“Vendor”, “you”). By ticking “I agree” during vendor registration or by listing a product, you accept this Agreement.

1. Eligibility and approval

Vendors must be legally able to sell the products they list in the United States and provide accurate business, tax and payout information. Every new store and product is reviewed; COCO WAWA may approve, request changes to, or decline any application or listing at its discretion.

2. What you may sell

Pet supplies that fit the COCO WAWA catalog: products for cats, dogs, fish and aquariums, turtles, hamsters and rabbits, including feeders, beds, toys, accessories, grooming and cleaning supplies. You may not list counterfeit, recalled, unsafe, illegal or restricted items, prescription veterinary medicines, live animals, or products that infringe any trademark, copyright or patent.

3. Listings and prices

  • You set the retail price the customer pays and are responsible for accurate titles, descriptions, photos, variations, stock and safety information.
  • Listings must be in English, use real photos of the product you ship, and must not contain external links or contact details that divert customers off the Marketplace.
  • COCO WAWA may edit categories, titles or images for consistency and search quality, and may pause listings that break this Agreement.

4. Commission and fees

For each completed sale, COCO WAWA retains a commission on the product price as shown in your Vendor Dashboard (currently 10%). Shipping fees you charge are paid to you. Payment-processing fees and any taxes owed on your earnings are your responsibility. We will give at least 30 days’ notice of commission changes; changes do not affect orders placed before the effective date.

5. Payouts

Your earnings become available after an order is marked completed and any return window has closed. You can request a withdrawal once your balance reaches the minimum shown in the dashboard (currently US$50) via the payout methods offered (bank transfer or PayPal). Refunds, chargebacks and customer compensation caused by your products or fulfilment are deducted from your balance.

6. Order fulfilment

  • Ship within the handling time stated on your listing (maximum 3 business days) with a tracked service, and upload the tracking number to the order.
  • Pack items safely and ship only the exact product and variation ordered.
  • Honor the COCO WAWA Shipping Policy and Returns & Refunds Policy (30-day returns) as minimum standards.

7. Customer service

Reply to customer messages within 1 business day. COCO WAWA may step in to resolve any dispute, and its decision on refunds under the Marketplace policies is final for the Marketplace.

8. Customer data

You may use customer information only to fulfil the order and provide support. You may not add customers to your own marketing lists, sell or share their data, or contact them for unrelated purposes, and you must protect the data in line with our Privacy Policy and applicable law.

9. Product safety, compliance and insurance

You warrant that your products are genuine, safe for their intended use, correctly labeled, and comply with all applicable U.S. federal and state laws (including CPSC, FTC and FDA rules where relevant). You are responsible for recalls affecting your products and for maintaining product liability insurance appropriate to your products.

10. Intellectual property

You keep ownership of your brand and content and grant COCO WAWA a non-exclusive, royalty-free license to display, adapt and promote your listings on the Marketplace, in advertising, search engines and social media. You confirm you have the rights to all content you upload.

11. Performance and termination

COCO WAWA may warn, suspend or close a store for late shipments, high cancellation or return rates, poor reviews, prohibited products or any breach of this Agreement. Either party may end this Agreement with 14 days’ written notice. Pending orders must still be fulfilled, and the final balance (less refunds and chargebacks) will be paid after the return window closes.

12. Independent parties and indemnity

You are an independent seller, not an employee, agent or partner of COCO WAWA. You will indemnify COCO WAWA against claims, losses and costs arising from your products, listings, fulfilment or breach of this Agreement.

13. Limitation of liability

COCO WAWA’s total liability to you under this Agreement is limited to the commissions it received from your sales in the three months before the claim. COCO WAWA is not liable for lost profits or indirect damages.

14. Governing law

This Agreement is governed by the laws of the State of Wyoming. Disputes will be resolved in the state or federal courts located in Laramie County, Wyoming.
