This Supplier Agreement (“Agreement”) sets the terms on which a manufacturer, wholesaler, dropshipping or print-on-demand partner (“Supplier”) supplies products to COCO-WAWA, LLC (“COCO WAWA”) for sale on coco-wawa.com. It applies to every purchase order or automated order COCO WAWA sends, unless a separate signed agreement says otherwise.

1. Supply model

COCO WAWA sells products to customers under its own storefront. When a customer orders, COCO WAWA places an order with the Supplier, who ships directly to the customer (dropshipping) or to a COCO WAWA warehouse, as specified in the order.

2. Pricing and payment

  • The Supplier’s wholesale price and shipping cost are those listed in the Supplier’s price list or platform at the time of the order.
  • COCO WAWA sets its own retail prices independently.
  • Payment terms are those agreed on the Supplier’s platform or invoice; price increases require at least 14 days’ notice.

3. Fulfilment standards

  • Dispatch within the agreed processing time (target: 1–3 business days) from a U.S. warehouse where available, with a tracked service, and share the tracking number the same day.
  • Blind (white-label) shipping: no Supplier invoices, prices, marketing inserts or branding in the parcel; COCO WAWA packing slips or inserts may be included.
  • Keep stock levels accurate and notify COCO WAWA immediately of stock-outs, delays or discontinued items.

4. Quality, safety and compliance

The Supplier warrants that products match their specifications and samples, are new, genuine, safe for pets when used as intended, properly labeled, and compliant with applicable U.S. laws and standards. The Supplier must notify COCO WAWA at once of any recall or safety issue and bears the cost of recalls caused by its products.

5. Defects, returns and lost parcels

The Supplier will replace or refund at its cost items that arrive defective, damaged, incorrect or not as described, and parcels lost in transit, on receipt of reasonable evidence (photos, video or carrier confirmation). Returns are handled according to the COCO WAWA Returns & Refunds Policy.

6. Print-on-demand designs

For custom or print-on-demand items, COCO WAWA (or its customer) owns the artwork supplied. The Supplier may use it only to produce COCO WAWA orders and must not sell, share or reuse it.

7. Confidentiality and data

Customer names, addresses and order details are confidential and may be used only to fulfil the order. The Supplier may not market to COCO WAWA customers and must keep the data secure.

8. Intellectual property

The Supplier confirms that the products and images it provides do not infringe third-party rights and grants COCO WAWA a license to use product images and descriptions to market the products.

9. Indemnity and insurance

The Supplier will indemnify COCO WAWA against claims arising from defective or unsafe products, infringement or the Supplier’s breach, and will maintain appropriate product liability insurance.

10. Term and termination

Either party may end this Agreement with 30 days’ written notice, or immediately for a material breach. Orders already placed must still be fulfilled.

11. Governing law

This Agreement is governed by the laws of the State of Wyoming, USA, and disputes will be resolved in the courts located in Laramie County, Wyoming.
